General Terms and Conditions
THE HUB TERMS AND CONDITIONS
1.0 In consideration of the payment to be made by The Licensee to The Hub and the Terms and Conditions hereinafter contained and on the part of the licence to be observed and performed. DEMISE 2.0 The Hub hereby agrees that The Licensee may use the accommodation for the duration of the agreed license period. 3.0 Either party may give each other not less than one-month written notice served in advance terminating the licence but without prejudice to the claim by The Hub against The Licensee in respect of any arrears of the Licence Fee or any breach of the agreements and undertakings herein contained on the part of The Licensee. 4.0 Where the Licensee comprises more than one individual such individuals shall be jointly and severally liable to observe and perform the Licensee's obligations under this License Agreement. LICENCE FEES
5.0 The Licence Fee all costs associated with operating the accommodation including business rates, broadband, water rates, and electricity, TV Licence, complementary tea, coffee and water and is payable monthly in advance. For the avoidance of doubt the licence fee excludes boutique coffee and photocopying which is charged separately in accordance with the house rules. 6.0 In the event that the Licensee does not pay the total amount as stated on an invoice by the stipulated date The Hub shall be entitled to charge a late payment fee of £25.00 if the invoice is not paid within 60 days from the issue of the invoice. 7.0 Whereby there is an option to tax in place on our building at 6 Margaret St, Newry, BT34 1DF the Hub will be obliged to comply with current VAT legislation and apply the necessary vat charge to all licence fees. 8.0 The Hub who in control of The Building reserves the right to enter The Premises or any part at any time.
9.0 This licence is personal to The Licensee and it cannot be transferred without prior consent of The Hub not to be unreasonably withheld. The licence is not entitled to permit anyone other than those employed or have a business relationship with The Licensee to have access to The Premises.
10.0 The Hub shall not be liable to The Licensee for any personal injury damage, loss or inconvenience howsoever or wheresoever caused to The Licensee (save any incident covered by The Hub's insurance) or to any goods or chattels brought by any person upon The Premises. It being the intention of and agreed between the parties hereto that The Licensee in exercising the right shall do so at the risk of The Licensee and accordingly The Licensee agrees to indemnify The Hub against all claims for any lawful visitor to The Premises who shall have entered onto The Premises for the purpose of lawfully visiting The Licensee or who shall enter The Premises with the permission of The Licensee.
11.0 The Licensee agrees with The Hub as follows:
(i) To pay the license fee in advance of every calendar month during the period of the licence. (ii) To comply and adhere to full compliance and adherence to the House Rules imposed by The Hub. A copy of the House Rules are available on our intranet and the Hub reserves the right to amend the House Rules from time to time and update the intranet accordingly (iii) Not at any time to cause or permit the accommodation to be used for occupied in any way or for any purpose which would cause any nuisance to The Hub or the occupants for any neighbouring or adjacent premises. (iv) Not to make any Alterations whatever to the accommodation or any fixtures or fittings thereof (v) Not to display the name of The Licensee or any business carried on by The Licensee save in a manner to be approved by The Hub (vi) Not to attempt to assign the benefit of this licence without prior consent of The Hub not to be unreasonably withheld. (vii) To keep The Hub indemnified against all damage, loss and injury of every description which may occur to or affect The Hub or its property which may arise from the non-observance of any of the stipulations of this licence howsoever expressed or implied. (viii) The Licensee may use the accommodation address as its business address and the Licensee may only carry on that business in its name or some other name advised to the The Hub when entering this agreement. (ix) To lock the accommodation and set the intruder alarm using the security code provided to the Licensee. (x) To comply at The Licensee's expense with all statutory and other regulations concerning the accommodation and to indemnify The Hub against any claims arising from any breach of such regulations. (xi) To observe any security regulations or management regulations for the use of the accommodation which The Hub may make from time to time (xii) Not to act in such a way which, may result in the insurance of the accommodation being void. (xiii) On or before the expiry of this agreement the licensee must return to The Hub all keys and other means of access to the office and the building. Whenever any key(s) or other means of access is lost the licensee is to report such loss forthwith to Iconic and incur the cost to replace such key(s) or other means of access as well as the cost of replacing any lock/keys changed by Iconic for other tenants. (xiv) To vacate the accommodation and remove all licensee's property on the expiration of the licence and to leave The accommodation in the state in which it was originally. (xv) The licensee must establish a mail redirection service. Post received for the first three months after the end of the licensee period will be retained at the accommodation for collection. Post received after a period of three months following the end of the License agreement will be disposed of. 12.0 The Hub hereby agrees, except where prevented from doing so by any strike, lockout, fuel shortage and other causes beyond The Hub's control to provide and discharge the following services and outgoings: -
(i) The Hub is to provide the accommodation for which the licensee has agreed to pay in the Centre as stated in this agreement. (ii) Heating, Lighting, broadband and electrical power to accommodation. (iii) Keeping The Common Parts of the accommodation clean, and in good repair and keeping the toilets and kitchen in a sanitary condition. (iv) To maintain insurance cover for the accommodation against such risks as The Hub may from time to time consider necessary. (xvi) Where the facilities are available, to use of a photocopier and printer based on the printing charges listed in the house rules. The Hub reserves the right to amend the charges from time to time and any changes will be updated on the intranet. (v) Provison of complementary tea, coffee and water (vi) Payment of any other charges in respect of the accommodation. (vii) This licence shall be terminable at the option of The Hub and all the rights and liberties of The Licensee here under shall cease if at any time The Licensee shall fail to observe and perform any of the agreements and stipulations contained in this license and in such event The Hub may (but without prejudice o any right in respect of an antecedent breach by The Licensee of any of the provisions hereunder) terminate the license forthwith. OWNERS NOTICE 13.0 It is hereby further agreed that between the parties that this agreement constitutes a license and confers no tenancy upon The Licensee and the possession of The Premises is retained by The Hub subject to the right created by the license. 14.0 No compensation damages or consequential losses either special of several shall be payable by The Hub either during the course of this license or on the termination thereof for whatever reason save for incidents covered by the buildings insurance for the accomodation. 15.0 The Hub advises the Licensee to insure against all such potential loss, damage, expense or liability for loss of business, loss of profits, loss of anticipated savings, loss of or damage to data, third party claims or any consequential loss 16.0 Neither The Hub or the Licensee may knowingly solicit or offer employment to any of the other's staff for a period of six months after the termination of the License agreement. 17.0 A person who is not party to this agreement has no rights under the contracts (Rights of Third Parties) Act 1999 to enforce any of the terms hereof, but this shall not affect any right of remedy of a third party which exists or is available from this Act. CONFIDENTIALITY The terms of this agreement are confidential. Neither The Hub nor the Licensee must disclose them without the other's consent unless required to do so by law or an official authority. This obligation continues after this agreement ends.
NOTICE 18.0 Any notice required or permitted to be given hereunder shall be given in writing, delivered personally or sent by first class post pre paid recorded delivery address to the party due to receive such notice.
19.0 Any notice delivered personally shall be deemed to have been received when delivered to the address provided in this agreement and any notice sent by prepaid recorded delivery post shall be deemed (in the absence of an earlier receipt) to be received 48 hours after posting and in proving the time of such dispatch show that the envelope containing such notice was properly addressed stamped and posted.
20.0 Any notice sent by e mail shall be deemed to have been received at the date and time of the confirmation delivery receipt.
21.0 This agreement is subject to Northern Irish law.
